1. AGREEMENT TO TERMS
By participating in the Affiliate Program, you ("Affiliate") agree to be bound by these terms and conditions. This agreement becomes effective when you submit your affiliate application and it is approved by the Company.
2. AFFILIATE PROGRAM OVERVIEW
The Affiliate Program allows approved affiliates to earn commissions by referring customers to Company's products and services through unique tracking links.
Commission Structure:
40% recurring commission on all monthly subscription payments
Commissions paid monthly for active subscriptions
Minimum payout threshold: $50
3. AFFILIATE RESPONSIBILITIES
Permitted Activities:
-Promote Company products through approved marketing materials
-Use provided affiliate links and tracking codes
-Represent Company and its products accurately and professionally
-Comply with all applicable laws and regulations
Prohibited Activities:
-Bid on Company's trademarked terms in paid search advertising
-Send unsolicited emails (spam) promoting Company products
-Make false, misleading, or exaggerated claims about products
-Engage in cookie stuffing or other fraudulent practices
-Promote through adult content, illegal activities, or inappropriate channels or any activity that could harm the reputation of the Company
4. MARKETING GUIDELINES
Approved Methods:
Social media promotion (organic posts)
Email marketing to your own subscriber list
Content marketing (blog posts, videos, podcasts)
Personal recommendations and word-of-mouth
Content Requirements:
Use provided marketing materials
Cannot misrepresent your relationship with Company
Must maintain professional standards consistent with Company's brand
5. COMMISSION TERMS
Payment Schedule:
Commission Eligibility:
Customer must remain active subscriber for minimum 30 days
Refunded orders result in commission reversal
Self-referrals and family member referrals are prohibited
6. TRACKING AND ATTRIBUTION
Commissions tracked through unique affiliate links
Cookie duration: 60 days from first click
Last-click attribution model used for commission assignment
Affiliate responsible for using proper tracking links
7. INTELLECTUAL PROPERTY
The Company retains all rights to its trademarks, logos, and marketing materials. Company grants limited license to use approved marketing materials
The Affiliate is granted a limited, non-exclusive license to use these materials solely for the purpose of promoting Serenity Circle, subject to compliance with Company guidelines
License terminates upon end of affiliate relationship
8.COMPLIANCE AND DISCLOSURES
FTC Compliance:
Affiliates must disclose material connection to Company
Required disclosure: "I may earn a commission if you purchase through my link"
Disclosures must be clear, conspicuous, and close to affiliate links
Data Protection:
Affiliates must comply with applicable privacy laws (GDPR, CCPA, etc.)
Cannot collect customer data without proper consent
Must protect any confidential information received from Company
9. TERMINATION
Termination by Company:
Company may terminate affiliate relationship at any time with 30 days notice
Immediate termination for breach of agreement or fraudulent activity
Outstanding commissions paid according to normal schedule after termination
Termination by Affiliate:
Affiliate may terminate by providing 30 days written notice
Must cease all promotional activities immediately upon termination
10. LIMITATION OF LIABILITY AND INDEMNIFICATION
Company's liability is limited to payment of earned commissions. The Company is not liable for indirect or consequential damages arising from the Affiliate’s participation in the program:
Lost profits or indirect damages
Technical issues affecting tracking or payments
Changes to products, pricing, or commission structure
Third-party actions or decisions
The Affiliate agrees to indemnify and hold harmless the Company from any claims arising from the Affiliate’s promotional activities.
11. MODIFICATION OF TERMS
Company reserves the right to modify these terms with 30 days notice. Continued participation constitutes acceptance of modified terms.
12. GOVERNING LAW
This agreement is governed by the laws of [Your State/Country]. Any disputes will be resolved through binding arbitration.
13. MISCELLANEOUS
Independent Contractor Relationship:
Affiliate is independent contractor, not employee or partner
No authority to bind Company or make commitments on Company's behalf
Entire Agreement:
This agreement constitutes the entire agreement between parties
Supersedes all prior agreements or understandings
Severability:
If any provision is unenforceable, remainder of agreement remains in effect
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements.
